Meet the Board of Advisors

Dr. Darlene M. Andert,
CMC CFM, Director

The Director of the Institute for Responsible Corporate Governance is Dr. Darlene M. Andert. Her 2003 doctoral research explored corporate governance for Fortune 1000 Boards of Directors, and provided the first understanding of Human Resource Development (HRD) as a Board oversight mandate. Dr. Andert is an Arbitrator for the National Association of Securities Dealers (NASD), a Certified Financial Manager (CFM), a Certified Management Consultant (CMC); and a Florida Supreme Court Certified Court Mediator.

Her board affiliations include LCEC energy company (Audit Committee) and GlassCan (Chair) Corporation, Houston, TX.

Mr. Kerry C. Dustin
Board Member

Kerry C. Dustin is the Chairman of Falls River Group, LLC., a Naples, FL based investment banking firm specialized in the mergersand acquisitions and corporate development of middle-market companies. Previously, he was the Managing Partner of the Ohio offices of a "Big Eight" international consulting and accounting firm, where he grew the Ohio practice from $350,000 to $23 million in annual revenue.

Kerry has over 40 years of transactional experience which encompasses buying and selling businesses, structuring financial packages for acquisitions, and valuations of closely held businesses both in the United States, Europe and South America. He also has extensive operational experience in the critical area of post merger integration. As a result of his background, Kerry has successfully quarterbacked the analysis, planning, structuring, and negotiations for hundreds ofcomplex business transactions. He is a member of the National Association of Corporate Directors and is also the formerChairman of the International Network of M&A Partners.

Kerry obtained a Bachelor of Science degree in Accounting from Ohio State University and a Juris Doctorate from Case Western Reserve University's School of Law. He is a member of International Network of M&A Partners (IMAP) and the Association for Corporate Growth (ACG). Kerry co-founded the Ohio Venture Association and the Northeast Ohio Software Association. He is an Alumnus of Leadership of Cleveland and has past or present Board roles with numerous corporate, civic and charitable organizations. He is a popular speaker on the subject of mergers, acquisitions and business strategy.

Mr. James Hale, Esq.
Board Member

Jim Hale is the former Executive Vice President, General Counsel and Corporate Secretary of Target Corporation. During his 25 year tenure at Target he had responsibility for legal and board matters and, at various times, government affairs, media relations, corporate audit, corporate real estate, strategic planning, geographic and consumer research, Foundation giving and brand management and compliance. He is currently serving as consultant to United Health Group on Board governance matters.

He is a member of the Board of Directors of Tennant Company and served for many years on the board of North Atlantic Life Insurance Company. He is a Trustee of the Minnesota Historical Society and the Fund for the Legal Aid Society. He has been a Trustee of the Carlson School of Management, Chairman of the Board of the Ordway Center for the Performing Arts, Chairman of the Board of Twin Cities Public Television, Co Chairman of the Children's Theatre Company capital campaign and a Trustee and member of the Executive Committee of the International Council of Shopping Centers.

He graduated from Dartmouth College B.A. 1962, summa cum laude, Phi Beta Kappa; from the University of Minnesota Law School in 1965, summa cum laude, Order of the Coif, Board of Editors, Minnesota Law Review. He was Law Clerk to Chief Justice Earl Warren, United States Supreme Court in 1965-66.

He joined the Minneapolis law firm of Faegre and Benson in 1966, where he specialized in corporate financing and mergers and acquisitions and general business matters. In 1979 he became Vice President and Director of Corporate Growth and later Vice President-Control and Administration at General Mills, Inc. He joined Target in 1981. Has been an adjunct professor of law at the Minnesota Law School and a frequent lecturer at Minnesota's Carlson School of Business.

Mr. Paul McDonald
Board Member

Paul McDonald retired from Friendly Ice Cream Corporation as Executive Vice President and CFO capping a twenty two year management career, and then continued on with the Board until the company was acquired by Sun Capital in 2007. Friendly's was a public company for many years and was for almost ten years an operating division of Hershey Foods. The company is 75 years old and operates restaurants up and down the eastern seaboard also retailing its line of ice cream through supermarkets in the northeast. Prior to his time with Friendly's, McDonald worked for General Motors in Flint Michigan and Andersen Consulting (the predecessor of Accenture) in their Boston and Hartford Offices. McDonald currently serves on the board of Peoples Bank Holding Corporation (Holyoke, Mass. and chair's the Audit Committee, Polytainer's Corporation in Toronto and F Schumacher and Co. in New York City. In addition, over recent years he has also served on the boards of CIGNA mutual funds, Granum Fund (New York City), both with publicly traded funds on NYNEX, Western Mass Electric (a subsidiary of Northeast Utilities, Hartford) and Bank of Boston. He has also been active in the not for profit sector, serving on the boards of Springfield College, Springfield Theater Arts Development Corporation, Naismith Memorial Basketball Hall of Fame, Greater Springfield Metro YMCA and the Isenberg School of Management at the Univ. of Mass, Amherst. McDonald received a BA in economics from the Univ. of Mass, Amherst, and graduated with high honors from the Rutgers Univ. Graduate School of Mgt, receiving his MBA. He did doctoral work at Michigan State and has taught in the Univ. of Connecticut MBA Program (Hartford) and guest lectured at the Isenberg School of Management at the University of Mass (Amherst). He holds the CPA Certificate and is a member of the National Assn. of Corporate Directors (NACD), Financial Executives Institute, Mass Society of CPA's and American Institute of CPA's. He and his wife Gail spend part of the year in Naples, Florida.

Mr. James Melican, Esq.
Board Member

James P. Melican is the retired Chairman of Proxy Governance, Inc., a proxy advisory firm that provides research and voting recommendations to institutional investors and pension funds. Prior to joining the firm when it was founded in 2004, he had been Executive Vice President of International Paper Company, where he served in the Office of the Chairman, and a member of the board of directors of two publicly-traded companies. His oversight responsibilities at I.P. included operating units with approximately $3 billion in annual revenue, as well as the company's legal, corporate secretary and investor relations functions.

Melican has been a recognized expert on corporate governance for twenty-five years. He served on an American Bar Association select committee that contributed to the American Law Institute's Principles of Corporate Governance, and is a life member of the A.L.I. He also served as Co-Chairman of the American Bar Association's Corporate Governance Committee and as a member of the A.B.A. task force that wrote and published three of the editions of the Corporate Directors' Guidebook. For several years, he chaired The Business Roundtable's Coordinating Committee for Corporate Governance. He is also a former member of the Executive Committee of the National Manufacturers' Association and of the Lawyers' Advisory Committee of the New York Stock Exchange. In each of the last three years, he has been selected as one of the 100 Most Influential People in corporate governance by Directorship magazine. Melican has been a frequent conference speaker and author of articles on corporate governance.

Mr. Mark Michel
Board Member

Mark Michel is an active Board of Directors member who has also served as Chairman of Boards, Advisory Boards and a Compensation Committee. He has significant corporate operational and strategic experience including serving as CEO. His Board experience covers a comprehensive mix of industries including: manufacturing, service, distribution, health care, technology, insurance company and brokerage, financial, medical device and not-for-profit service.

His directorships have been for both public and private companies and for civic and educational organizations. They include:

  • medical clinic ownership & management;
  • international transportation manufacturing;
  • textile manufacturing;
  • laser surgery centers;
  • medical information technology;
  • computer systems equipment distribution and manufacturing;
  • hi-tech refrigeration;
  • workers' compensation insurance;
  • precision machining;
  • commercial woodworking;
  • construction engineering;
  • applications service providers;
  • health care information;
  • patented medical device development;
  • international sourcing and patenting;
  • investment oversight;
  • electronics repair and logistics;
  • Non-Executive Director of a European company.
He has been an advisory board member for two corporate governance education organizations. One is not-for-profit and the other university sponsored. His civic experience includes being a member of the Lafayette College Board of Trustees.

Mr. Michel holds an undergraduate degree from Lafayette College and attended the Wharton Graduate Business School at the University of Pennsylvania. He has been awarded the National Association of Corporate Directors Certificate of Director Education.

Brett W. Nesbit,
Board Member

Brett is managing principal of Rehmann's Florida office. Rehmann is a CPA and business-consulting firm with offices in Michigan and Florida.

    Brett has seventeen years of experience performing accounting, assurance and consulting services. He also assists individuals and closely held businesses with a variety of tax planning and tax compliance services. Brett has extensive experience in operations, banking and strategic planning issues.

    Brett is a graduate of Western Michigan University with a Bachelor of Arts in Political Science, a Master of Business Administration in Management and a Master of Science in Accountancy.
