Buying and Selling Information for Small Business Owners

On Monday, April 21 a seminar will be sponsored by the SBDC on information relative to buying or selling a business. Carol Meister, MetLife, and Scott Bodie owner of Advanced Marketing Advisors will present the seminar. The program will be held at the FGCU Naples campus located at 1010 5th Avenue S. in Naples. The seminar will point out some of the following pertinent issues when evaluating a buy or sell agreement:

• Business Entity tax characteristics for each form of business ownership
• Effects and classifications of the buy/sell agreement t (redemption, family attribution rules, cross-purchase agreements, and wait-and-see agreements)
• Business Valuation
• Funding buy & sell agreements (sinking fund, loans, and life insurance)
• Common Mistakes in Funding Buy & Sell Agreements (under-funded plans, transfer for value issues, not using fair market value of business, no contingency funding plan)
• Questions and Comments
